General terms of rental and payment (CGV)

Version in force as of 1 October 2026. Version française

In case of discrepancy, the French version prevails.

1. Parties and purpose

These terms govern the rental of GK Power power banks from GKL Consulting, whose full identity and contact details appear in the legal notice. The customer may use a self-service station or be assisted by an authorised agent. Kanape LLC and OVH provide technical services; the customer’s contracting party for the rental is GKL Consulting.

The service makes a battery available on a temporary basis, subject to stock and to the stations being operational. It is not a sale of a battery, a bank account or a remunerated deposit service. The battery remains the property of its owner within the network.

2. Conditions of access

The customer must have the legal capacity to contract or be validly represented, have an authorised payment method and provide accurate information. Use of a third party’s account or wallet requires that person’s authorisation. The customer reviews the prices, the return deadline and the usage precautions before ordering.

3. Order and confirmation

Before validation, a summary allows the customer to check and correct the station, the paying number, the payment method and the pricing elements: currency, price or rate scale, deposit amount, total collected immediately, any cap, return time limit and consequences of exceeding it. The customer may abandon the order before validation.

Explicit validation of this summary constitutes acceptance of the version of these terms made accessible and storable. Payment is subject to confirmation by the provider. An order confirmation, an electronic copy of the contract and the billing documents are provided to the customer. Support provides a copy on request after appropriate verification of identity.

The payment request or its “in progress” status does not prove a final collection. Dispensing is triggered after payment is confirmed or, for an exempt offer, after the conditions of that offer are validated. If dispensing is uncertain, a check is carried out before any new paid order.

4. Price, currency and duration

Only the summary accepted by the customer before payment is authoritative for the rental price. It is expressed in CDF or in USD depending on the station; the service does not convert between these currencies. The summary states clearly whether applicable taxes are included, as well as any known additional fees. No unannounced commission of GKL Consulting is added after validation. The fees of your operator, bank or connection are separate; known payment-related fees are shown before you commit.

The pricing conditions of the rental are stored when it is created. A later change of prices does not apply to that rental. The period of use begins at the recorded actual dispensing and ends at the recorded return, subject to correction of a detection incident.

In flat-rate mode, the fixed rental price and the deposit are collected at departure. If the battery is returned no later than the deadline, the deposit is refundable in full; the fixed price pays for the rental actually provided, subject to the refund cases provided for below.

In hourly mode, only the deposit is collected at departure. The price is calculated on started hours and the announced cap per 24-hour period. The refundable amount is the balance of the deposit after deducting the rental price, with a minimum of zero. In this mode, the amount retained for this rental does not exceed the amount initially collected; no additional debit is applied by this journey. The standard price is detailed in the pricing annex.

5. Deposit and refund beneficiary

The deposit is an amount collected to guarantee the return and, for hourly offers, to allow the price calculated at return to be settled. It is identified separately in the summary and the receipts. It is not a mere bank hold that is not debited.

For a Mobile Money payment, the refund goes back to the number of the wallet that paid, including where the payer and the user of the battery are two different people. Holding the battery or the tracking link is not enough to authorise a refund to another number. For cards, the refund is handled manually following the secure procedure agreed with the provider and the payment holder.

No prior request is needed to trigger the processing of a refundable deposit after a recorded return. The actual payment may require manual intervention. Its terms are set out in the refund policy.

6. Return and late return

The battery must be returned to a compatible station of the network with an available slot, no later than the deadline indicated for the rental. The maximum time limit displayed is counted from dispensing. Insert the battery correctly and check the confirmation on the station or the tracking page. Simply leaving it with a merchant or outside a designated slot does not constitute a recorded return, unless a procedure has been expressly agreed with GKL Consulting.

Beyond the deadline, in case of non-return or late return, the deposit collected is retained as the announced non-return flat fee. In flat-rate mode, the rental price already paid remains separate. In hourly mode, the flat fee corresponds to the amount initially collected and is not combined with a new charge for the same rental. A return exactly at the deadline is not an overrun.

The retention does not prevent the customer from disputing a detection failure, a duration error or an incident attributable to the service. GKL Consulting examines the supporting documents and corrects the amounts where the retention is not justified. The retention is not a sale of the battery and does not release the customer from returning it.

If a station is full, unavailable or inaccessible, consult the alternatives offered and contact support promptly. Where an incident attributable to the service prevented a return in time, GKL Consulting examines the circumstances, cancels unjustified fees or retention and proposes a return solution.

7. Use and safety

Use the battery to charge a compatible device, following the instructions. Do not take it apart, immerse it or expose it to excessive heat, and do not force its connectors or the stations. Stop using it immediately in case of swelling, leakage, abnormal smell, overheating or visible damage, and contact support. Do not put a dangerous battery back into a station without appropriate instructions.

GKL Consulting provides equipment suited to the announced service. Normal wear or a defect not attributable to the customer does not justify any additional retention. Any damage attributed to the customer must be established and any repair claim justified, without double compensation for the same loss.

8. Payment or dispensing incident

If a confirmed payment did not result in the battery being dispensed and this absence is established, GKL Consulting cancels the rental and refunds the entire amount actually collected for it, initial price and deposit where applicable. An uncertain dispensing or a disputed debit is checked with the provider; this check does not make sums unduly received the property of GKL Consulting.

In case of a defective battery or non-conforming service, contact support for an appropriate replacement, correction or refund solution, without prejudice to statutory rights and to compensation for established damage. Not receiving an SMS does not remove the right to a refund.

9. Withdrawal and cancellation

The service is intended for immediate use. By validating the order, the customer requests that the service begin as soon as the battery is actually handed over, without waiting for any withdrawal period to elapse. This information is given before payment.

The withdrawal rules of Articles 61 to 64 of the Congolese Digital Code remain applicable to non-professional customers. Under Article 64, the right of withdrawal is lost once the service has been provided, depending on the characterisation of the offer and its actual performance. Immediate commencement does not, by itself, constitute a general waiver of any legal right. No additional contractual withdrawal period is granted by these terms. Where a lack of prior information opens the 15-day period provided for by the Code, the corresponding legal provisions apply.

The request is notified to support, on +243 818 080 030 or at GKPOWER@gklgroupholdings.com, with the order reference and an unequivocal statement. Example: “I hereby notify you of my withdrawal from order no. (reference), concluded on (date). Name: (name), contact: (contact).” The customer arranges with GKL Consulting the return of any equipment already handed over.

Where a withdrawal is legally open after the service has begun, the customer must pay the part of the price proportionate to the service actually provided up to its notification, in accordance with Article 64, and return the battery. A service already provided cannot be cancelled solely on the ground of a change of mind. This rule does not remove remedies for payment without dispensing, defect, non-conformity or unjustified retention of the deposit.

Sums refundable following a valid withdrawal are refunded within the maximum legal period of 72 hours from receipt of the notification. The commercial target or the bank delay does not derogate from this obligation. Any legal consequences of a delay remain applicable.

10. Pass and loyalty offers, where available

Only offers that are displayed and activated are proposed. A day, week or month pass is prepaid; it takes effect after payment is confirmed and is worth 1, 7 or 30 continuous days respectively, depending on the offer accepted. This journey does not provide for renewal or a new debit at expiry.

Rentals covered by an active pass benefit from the exemption from rental price and deposit announced in the summary. The pass is attached to the number accepted by the service; its holder remains bound to return the battery and to observe the time limit and the safety instructions. “Unlimited rentals” means neither guaranteed availability, nor a right to keep a battery without returning it, nor a right to several simultaneous withdrawals outside the conditions of the offer.

A pass that was paid but not activated because of an established failure is refundable for the amount actually collected. Withdrawal from a partly performed pass is handled in accordance with Article 9, with a justified proportionate calculation. In case of substantial unavailability attributable to the service, support proposes an appropriate correction or refund.

If a decreasing deposit is offered, the summary shows the deposit actually applied. In the mechanism currently provided for, each group of five on-time returns reduces the base deposit by 20%, with a minimum of 40%; these parameters are enforceable only if they are activated and announced. The customer may dispute an erroneous history with support. A future benefit does not change a rental already created.

11. Evidence, invoicing and retention

Confirmations of payment, dispensing and return, the stored prices and exchanges with support serve to establish how the rental went. They may be contested by any lawful means; technical records do not constitute irrebuttable evidence.

GKL Consulting provides an electronic copy of the contract and an invoice compliant with its tax status and the applicable rules, together with the relevant deposit and refund receipts. To receive these documents again, contact support on +243 818 080 030 or at GKPOWER@gklgroupholdings.com, stating the reference. Data is retained in accordance with the privacy policy and archiving obligations.

12. Liability, complaints and governing law

GKL Consulting is answerable for the proper performance of the contract under Congolese law, including where contractual services are entrusted to providers. No clause removes liability as a whole for fault, defective equipment or a mandatory obligation. Exemptions allowed by law, in particular established force majeure, are assessed case by case.

Complaints: telephone +243 818 080 030, email GKPOWER@gklgroupholdings.com. State the rental reference, the date, the amount, the currency and the problem encountered, without any secret code. GKL Consulting responds to requests and complaints within 72 hours in accordance with the Digital Code; the resolution and the applicable refund time limits are set out in the response. The absence of the follow-up button never prevents contacting support.

These terms are governed by the law of the Democratic Republic of the Congo, including the applicable OHADA rules. The parties seek an amicable solution, without limiting the customer’s right to refer the matter to an authority or a court. Failing that, the dispute falls within the courts having subject-matter and territorial jurisdiction under the applicable rules; no exclusive jurisdiction in Texas is imposed on the customer.

Amendments to these terms apply to new orders after they enter into force. The accepted version remains applicable to earlier orders, subject to mandatory legal provisions.

Annex — standard price

This annex gives the price applied by the stations in hourly mode, in US dollars (USD). A station may display a different price on its summary; the summary accepted before payment remains the only authoritative reference for a given rental.

Amounts

Refund

The amount refunded is the deposit minus the rental price, and cannot be less than zero. Examples: a battery returned after 5 hours costs 5 USD, i.e. 15 USD refunded; a battery returned after 2 days costs 20 USD, i.e. the entire deposit and no refund.
